The European Commission has published its full decision approving Universal Music Group‘s (UMG) acquisition of Downtown Music Holdings, enabling independent trade body IMPALA to scrutinise the ruling and consider a possible appeal.
The decision, dated Friday 24 April 2025, follows the Commission’s earlier clearance of the deal. IMPALA, which represents more than 6,000 independent music companies across Europe, said the publication of the non-confidential text is a critical step for third parties seeking to understand the regulator’s reasoning.
“This is an important step in the process and allows interested third parties like IMPALA to see the public version of the decision so they can assess the process followed and the reasons for the EC’s final outcome,” said Helen Smith, Executive Chair of IMPALA. “It always takes time as the merging parties and the EC have to agree what should be redacted as a business secret. We thank the EC for getting that process done and hope the redactions are reasonable. We will now be able review the decision under the microscope.”
IMPALA stated it will review the published text to determine whether to pursue an appeal or other actions. The organisation had previously outlined its main conclusions on the clearance in February.
IMPALA was founded in 2000 and represents over 6,000 independent music companies, 99% of which are small, micro and medium businesses and self-releasing artists. The sector accounts for more than 80% of all new releases and 80% of music industry jobs in Europe.
